This agreement ("Agreement") is made on [DATE] by and between [COMPANY NAME] ("Company"), a [STATE/REGION] corporation, and [EMPLOYEE NAME] ("Employee").
 
WHEREAS, Employee has been employed by Company and has had access to confidential information and trade secrets of Company; and
 
WHEREAS, Company desires to protect its confidential information and trade secrets and prevent Employee from competing with Company;
 
NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, Company and Employee agree as follows:
 
1. Non-Competition. Employee agrees that during the term of Employee's employment with Company and for a period of [NUMBER] months following the termination of Employee's employment with Company (the "Restricted Period"), Employee will not, directly or indirectly, engage or participate in any business that competes with the business of Company within [GEOGRAPHICAL AREA] ("Restricted Territory").
 
2. Non-Solicitation. Employee agrees that during the Restricted Period, Employee will not, directly or indirectly, solicit or attempt to solicit any of Company's customers or clients for the purpose of providing products or services that are competitive with the products or services offered by Company.
 
3. Confidentiality. Employee acknowledges that during the course of Employee's employment with Company, Employee has had access to confidential and proprietary information and trade secrets of Company, including but not limited to customer lists, pricing information, financial information, marketing strategies, and business plans. Employee agrees to maintain the confidentiality of such information and to not use or disclose such information to any third party during or after the termination of Employee's employment with Company.
 
4. Remedies. Employee acknowledges that the restrictions set forth in this Agreement are reasonable and necessary to protect the legitimate business interests of Company. Employee further acknowledges that any breach of this Agreement may result in irreparable harm to Company for which monetary damages may not be an adequate remedy. Accordingly, in the event of any breach or threatened breach of this Agreement, Company shall be entitled to injunctive relief, as well as any other remedies available at law or in equity.
 
5. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of [STATE], without giving effect to any choice or conflict of law provision or rule.
 
6. Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties relating to the subject matter of this Agreement.
 
7. Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired thereby.
 
8. Waiver. The failure of Company to enforce any provision of this Agreement shall not be construed as a waiver or limitation of Company's right to thereafter enforce and compel strict compliance with every provision of this Agreement.
 
9. Binding Effect. This Agreement shall be binding upon and inure to the benefit of Company, its successors, and assigns, and Employee, and Employee's heirs, executors, administrators, and legal representatives.
 
10. Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
